1. Purpose
This document defines the Terms of Use applicable to the TalenexPro platform operated by Talenex Inc., designed for SMEs and freelancers to exchange skills virtually without physical contact.
2. Nature of the Service
TalenexPro enables 100% virtual exchanges via chat messaging with no physical meetings or travel. No direct monetary transactions occur between members; credits ensure balance in exchanges.
3. User Accounts
SMEs and freelancers must provide accurate information. Talenex Inc. may suspend or delete an account in cases of abuse, fraud, or violation of these terms.
4. Subscription Plans
Two plans are available: Free and Pro. Free credits are non-renewable. The Pro plan includes 4 credits per year and additional premium features. Credit purchases are limited based on user status (SME or freelancer).
5. Acceptable Use
The following are prohibited: harassment, fraud, distribution of illegal content, identity theft, spam, technical circumvention, exchange of physical goods, physical meetings, and visiting a user's home or business location.
6. Exchanges and Responsibilities
TalenexPro does not guarantee the quality, availability, or relevance of exchanged services. Users acknowledge that Talenex Inc. is not responsible for the content of exchanges or any professional or commercial consequences.
7. Credits
Credits are used to request or offer services. A credit is transferred after the exchange is completed. Purchased credits expire after 12 months; free credits expire after 30 days.
8. Referral Program
The referral program is reserved for Pro subscribers and is limited to 20 referrals for life. Rewards are granted only if the referred user purchases a Pro subscription.
9. Payments and Taxes
Payments are processed via Stripe Tax or Paddle. Automatic renewal is disabled by default. Talenex Inc. does not intervene in financial disputes between users.
10. Data and Privacy
Talenex Inc. complies with Law 25. Users agree to the collection and use of their data for normal platform operations. A separate Privacy Policy applies.
11. No Recording of Messages
TalenexPro does not record your chat messages. Exchanges are private and not stored by the platform.
12. Security and Availability
TalenexPro aims for high availability, but no service level guarantee is provided, especially for free accounts. Backup, monitoring, logging, and disaster recovery measures are implemented.
13. Limitation of Liability
Talenex Inc. shall not be held liable for financial losses, loss of clients, loss of revenue, indirect damages, or incidents related to the use of the platform. Users use TalenexPro at their own risk.
14. Suspension or Termination
Talenex Inc. may suspend or terminate an account without notice in case of violations. Users may close their account at any time, without refund for expired or used credits.
15. Jurisdiction
These terms are governed by the laws of Quebec. Any dispute shall be brought exclusively before the courts of the district of Montreal.
16. Modifications
Talenex Inc. may modify these terms at any time. Users are responsible for reviewing the latest version available on the platform.
By using TalenexPro, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
